Terms of Service

By installing, accessing, or using Gungi (“the Service”), operated by Shogun Inc. (“we”, “us”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Gungi is an AI-powered development automation platform that integrates with GitHub. It automates the software development lifecycle from Issue to Pull Request using configurable AI agent chains. The Service includes:

• A GitHub App that monitors repository events
• AI agent orchestration for code generation, review, and testing
• A web-based dashboard for configuration and monitoring
• GitHub Marketplace subscription management

You must have a valid GitHub account to use Gungi. You are responsible for maintaining the security of your account credentials and API keys configured in the Service. You must promptly notify us of any unauthorized access.

4.1 Plans

Gungi offers Free, Pro, Team, and Enterprise plans. Plan details, pricing, and feature availability are described on our pricing page and GitHub Marketplace listing.

4.2 Billing via GitHub Marketplace

All billing is processed through GitHub Marketplace. By subscribing, you agree to GitHub's Marketplace Terms of Service in addition to these terms. Billing cycles, refunds, and cancellation policies follow GitHub Marketplace rules.

4.3 Seat-Based Pricing

For Team and Enterprise plans, administrative seats (users with admin or editor roles) consume paid seats. Viewer-role users do not consume seats. You are responsible for managing your seat allocation.

4.4 Plan Limits

Each plan includes limits on concurrent workflow executions, parallel agents, and other resources. Exceeding these limits may result in queued executions. We reserve the right to enforce limits and suspend service for abuse.

You agree to:

• Use the Service only for lawful purposes and in compliance with all applicable laws
• Provide and maintain valid AI provider credentials (API keys or OAuth tokens) at your own expense
• Review AI-generated code before merging into production branches
• Not use the Service to generate malicious code, malware, or content that violates third-party rights
• Not attempt to reverse-engineer, circumvent security measures, or abuse rate limits
• Not share your account or API keys with unauthorized parties

No warranty on AI output. Code, reviews, and other content generated by AI agents are provided “as is” without warranty. You are solely responsible for reviewing, testing, and validating all AI-generated output before use.

Gungi orchestrates AI agents but does not control the underlying AI models. The quality and accuracy of generated content depends on the AI provider, your prompt configuration, and the context provided.

7.1 Your Content

You retain all rights to your source code, repositories, and configurations. You grant us a limited license to access and process your content solely for the purpose of providing the Service.

7.2 AI-Generated Output

Ownership of AI-generated code follows the terms of the respective AI provider (Anthropic, OpenAI, Google). In general, you own the output generated through your use of the Service.

7.3 Agent Definitions

Agent definitions (prompt templates, configurations) you create are your property. If you share agents within your organization or externally, the sharing permissions you set will govern access.

We strive to maintain high availability but do not guarantee uninterrupted service. The Service depends on third-party infrastructure including GitHub, AI providers, and cloud hosting. Scheduled maintenance will be communicated in advance when possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOGUN INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Shogun Inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

You may terminate your use of the Service at any time by uninstalling the GitHub App and cancelling your subscription through GitHub Marketplace.

We may suspend or terminate your access if you violate these terms, abuse the Service, or fail to pay applicable fees. Upon termination, your data will be handled according to our Privacy Policy.

We may modify these terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

These terms are governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.
